OFFICIAL RULES OF THE CONTEST

“xBasket Contest Champion 1”

Contest Period: October 1 – December 1, 2023 (10:00 GMT +3)

I. SECTION 1. CONTEST ORGANIZER

1.1 The organizer of the “xBasket Contest Champion 1” contest (hereinafter referred to as the “Contest”) is X Dolla Games S.R.L. (hereinafter referred to as the “Organizer”), a commercial company registered in accordance with Romanian law, with its registered office located in Loc. Dealu Aluniş, City of Berbeşti, DANTULUI Street, No. 21, Block C38, Staircase A, Floor 2, Apt. 11, Vâlcea County, registered with the Trade Register under no. J38/647/21.07.2023, unique registration code RO 48526990.

1.2 Apple/Play Store are NOT a sponsor of this contest and are NOT involved in this activity in any form.

1.3 The value of the prize is not wagered, awarded, or determined by the game’s performance or chance-based results.

II. SECTION 2. CONTEST REGULATIONS

2.1. The contest will take place according to the provisions of these regulations (“Regulations”), which are mandatory for all Participants and all entities involved in the conduct of the Contest, in accordance with the provisions of Government Ordinance no. 99/2000 regarding the marketing of market products and services, with all subsequent amendments and completions.

2.2. The Regulations are drawn up and made public in accordance with the applicable legislation in Romania and are available, free of charge, to any participant, at https://x-dolla.games/termeni-si-conditii-concurs-xbasket-contest/

2.3. According to the Organizer’s free decision, the Contest may be publicized for the purpose of informing the public, including through advertising materials and/or with informative purposes. Information contained in such materials will be interpreted in accordance with the provisions of these Regulations.

2.4. The Organizer reserves the right to modify and/or supplement the Regulations, as well as the right to suspend and/or terminate/extend the Contest, provided that Participants are notified in advance of any change to any of its provisions. Any changes/supplements made to the provisions of these Regulations will be included in additional documents communicated to the public by updating the Regulations and publishing them, in their updated form, at https://x-dolla.games/termeni-si-conditii-concurs-xbasket-contest/. Participants will also be notified through the xBasket Contest game.

2.5. Starting from November 1st, disqualifications will occur both during the competition and after the snapshot of the leaderboard. The reasons for disqualifications for each individual will be made public through in-game notifications as well as on the official Twitter account of the organizer (https://twitter.com/X_Dolla_Games).

III. SECTION 3. CONTEST AREA AND DURATION

3.1 The Contest is organized online, in accordance with these Regulations, on the xBasket Contest game for:

IV. SECTION 4. RIGHT TO PARTICIPATE

4.1 All players (hereinafter “Players”) who have downloaded the xBasket Contest game for Android or iOS for free and have an eligible email and bank account to receive bank transfers from Romania participate automatically and without any fees in the Contest.

4.2 Registration in the Contest implies the implicit, complete, express, and unequivocal acceptance of the provisions of these Regulations.

4.3 The following categories of persons are not eligible to participate in this Contest:

(i) Persons who are not eligible according to Section 4.1;

(ii) Employees of the Organizer, as well as of the affiliated companies* of the Organizer;

(iii) Employees of Agency/Agency 2 or employees of any other companies/entities involved in activities related to the organization and conduct of the Contest;

(iv) Players who have chosen an indecent, racist nickname,

(v) Players who have attempted in any way to cheat (reverse engineering, change date, etc.).

4.4 The Organizer reserves the right to take all measures to prevent participation and the right to remove any person from the Contest in the categories mentioned in Article 4.3.

V. SECTION 5. CONTEST MECHANISM

5.1 For a valid entry to participate in the Contest, the following cumulative conditions must be met:

a) The Player must have the right to participate according to the provisions of Section 4 above; b) A unique Player is identified based on the in-game nickname; c) The Player must inform themselves in advance and in detail about any of the terms and conditions regarding the conduct of the Contest, in accordance with these Regulations; d) Winners will be contacted via email and will be asked to provide banking details for the receipt of the prize.

5.2 All players will have 6 lives per day to use to score as many baskets as possible and earn the most points, which will be indexed in a leaderboard (hereinafter the “Leaderboard”).

5.3. The Leaderboard will be reset at the beginning of each month at 10:00 GMT+3.

5.4. Players who rank 1st on the Leaderboard on November 1 (09:00 GMT+3) and December 1 (09:00 GMT+3) will be awarded.

VI. SECTION 6. CONTEST PRIZES

6.1 The following prizes will be awarded to the players ranked first each month in the Contest:

a. On November 1, the prize will be $50 US Dollars at the exchange rate offered by Banca Transilvania at the time of award through a bank transfer.

b. On December 1, the prize will be $50 US Dollars at the exchange rate offered by Banca Transilvania at the time of award through a bank transfer.

TOTAL PRIZE VALUE: $100 US Dollars

6.2 The Organizer will not bear any additional expenses beyond awarding the winner the prize.

VII. SECTION 7. DETERMINATION OF WINNERS AND AWARDING OF PRIZES

7.1 The prizes in the Contest will be awarded as follows:

At the beginning of each calendar month at 09:00 AM GMT+3, a snapshot of the Leaderboard will be taken, from which the data of the first Player + 2 reserves consisting of places 2 and 3 will be extracted.

If the winning player does not respond to the email within 24 hours, the player who is in 2nd place will be contacted. If the player in 2nd place also does not respond within 24 hours, the player in 3rd place at the time of the snapshot will be contacted.

VIII. SECTION 8. VALIDATION AND PUBLICATION OF WINNERS. RECEIPT OF PRIZES

8.1 After determining the winners, the Organizer will begin the validation process, during which the fulfillment of the conditions regarding the registration of Participants and compliance with all provisions of these Regulations will be verified.

8.2 The player who has been designated as the winner will be tagged in posts on social media channels (Twitter, Instagram).

8.3 Participants who have been designated as winners will be contacted exclusively by the Organizer via email at the following email address: contact@x-dolla.games, to request their bank details used exclusively for the awarding of the prize. The participant must respond by email within 24 hours from the time of contact.

The Organizer reserves the right not to award the prize if the designated winners do not meet the validation conditions or if there are not enough entries in the Contest (minimum of 10).

8.4. Prizes will be transmitted via bank transfer.

8.5. In the event that, due to reasons independent of the Organizer, one of the validated winners notifies the Organizer through the channels initially contacted that they cannot participate or refuse, the prize will not be awarded and will remain the property of the Organizer, who may dispose of it freely in a manner deemed necessary or suitable for their interests.

8.6. The Organizer has no obligation to correspond with potential winners or prize winners after the expiration of the deadlines set out in this Regulation, or with other participants outside the obligations assumed by this Regulation.

IX. SECTION 9. TAXES AND TAXES

9.1. The Organizer undertakes to calculate, withhold, declare, and transfer the tax due for the incomes consisting of the prizes awarded to the winners in accordance with the provisions of art. 110 of the Fiscal Code approved by Law no. 227/2015, with subsequent amendments and completions, if applicable, any other obligations of any other nature in connection with these being the exclusive responsibility of the winners.

9.2. Participants in the Contest are not subject to any additional direct or indirect expenses, except for the normal costs of conducting the Contest (the cost of Internet access for registration in the Contest).

X. SECTION 10. LIMITATION OF LIABILITY

10.1. The Organizer is entitled to take all necessary measures in the event of an attempt to defraud the system, abuse, or any other attempts that could affect the image of this Contest, as well as that of the Organizer. Any attempt at fraud results in the elimination of the Participant in question from the Contest, and the Organizer will inform the respective participant of this decision.

10.2. In the event of a dispute over the validity of an entry in this Contest, the decision of the Organizer is final.

10.3. The Organizer assumes no responsibility for:

  • Recordings made outside the Contest period mentioned above;
  • Messages sent by the Organizer but not received by Participants for technical reasons or reasons beyond the Organizer’s control;
  • Entries that do not contain all mandatory information;
  • Any disputes regarding ownership rights over messages or their content;
  • Errors in the data provided by the Participant. The accuracy of the contact details does not attract the liability of the Organizer and is the sole responsibility of the participants. Therefore, the Organizer has no obligation in case participants provide erroneous data that led to the impossibility of identifying the winner or awarding the prize;
  • The inability of the winners to take possession of the prizes for reasons independent of the Organizer;
  • Cases where the winner does not comply with the validation conditions detailed in this Official Regulation;

10.4. The Organizer is not responsible in any way for direct or indirect damages resulting from participation in the Contest, except in cases where these result from acts of gross negligence or intentional acts for which the Organizer is responsible.

XI. SECTION 11. PROCESSING OF PERSONAL DATA

11.1. Information regarding the processing of personal data related to the conduct of this Contest is provided in Annex 1 of this Regulation. By participating in this Campaign, Participants agree that their personal data will be processed for the purpose of organizing and conducting the Campaign, by the Organizer as the data controller and by the Agency and Agency 2 with the identification data in this, as authorized representatives, for the processing of the data of the prize winners.

11.2. Requests/complaints regarding the processing of personal data in connection with the Contest can be submitted in accordance with the instructions and contact addresses provided in Annex 1 below.

XII. SECTION 12. CESSATION/INTERRUPTION OF THE CONTEST. FORCE MAJEURE

12.1. The Contest may cease before the specified period in the event of an event constituting force majeure, including the impossibility of the Organizer, for reasons beyond its control, to ensure the smooth conduct of the Contest.

12.2. Force majeure means any event that cannot be foreseen, controlled, or remedied by the Organizer, including the Organizer’s inability for reasons beyond its control and whose appearance puts the latter in the impossibility of fulfilling its obligations assumed by the Regulation.

12.3. The Contest may also cease before the specified period or be suspended at any time at the free decision of the Organizer, provided that it communicates such a situation in advance and in accordance with the provisions of the Regulation.

XIII. SECTION 13. OBJECTIONS AND DISPUTES

13.1. Participants may file objections regarding the conduct of the Contest through the contact form available on emag.ro within a maximum of 5 (five) days from the announcement of the winners. After this date, no objection will be considered by the Organizer. Objections will be resolved within 15 (fifteen) working days from the date of their submission, and a written response will be communicated to the Participant at the email address indicated or at the postal address communicated by the participant.

13.2. Any disputes arising between the Organizer and Participants regarding any aspect related to the conduct of the Campaign will be resolved amicably, and if this is not possible, the disputes will be settled in the competent Romanian courts in the Municipality of Ramnicu Valcea.
